These Terms of Service ("Terms") govern your access to and use of Auto Recover AI ("Auto Recover", "Service", "we", "us", or "our").
By installing, accessing or using Auto Recover, you agree to be legally bound by these Terms.
If you use Auto Recover on behalf of a business, you confirm that you have authority to bind that business to these Terms.
Auto Recover is operated by Auto Recover LTD.
Auto Recover provides automated abandoned-cart recovery services for e-commerce merchants.
The Service may integrate with Shopify and other supported platforms to identify abandoned carts or checkouts and may send automated SMS communications, generate AI-powered responses, provide recovery links, provide merchant-configured incentives or discounts, and track customer interactions and purchases.
Auto Recover does not guarantee that any particular customer will make a purchase or that any particular amount of revenue will be recovered.
To use Auto Recover, you must create an account and provide accurate and complete information.

You must not allow another person or business to use your account in a manner that violates these Terms.
Auto Recover may charge:
The applicable pricing, subscription fee and recovery fee percentage will be displayed to you before or when you subscribe to the applicable plan.
Unless otherwise stated, fees are charged in GBP.
By subscribing to Auto Recover, you authorise Auto Recover and/or its billing provider to charge all applicable subscription and recovery fees associated with your account.
Where a purchase is attributed to Auto Recover under Section 5, the applicable recovery fee becomes payable regardless of whether the merchant believes that Auto Recover was the sole or primary reason for the customer's purchase.
Auto Recover's recovery fee is a fee for the Service's contribution to, and attribution of, the recovered purchase under the attribution rules described in these Terms.
You may not avoid, circumvent or attempt to avoid recovery fees by:
If an attributed purchase occurs after cancellation or uninstall, any recovery fee that arose from activity occurring while Auto Recover was active remains payable.
If you believe a recovery fee has been calculated incorrectly, you must notify us within 14 days of the relevant invoice or charge and provide reasonable details of the dispute.
We may investigate disputed charges using available Shopify, Auto Recover, SMS, link, discount and order data.
Unless prohibited by applicable law, Auto Recover's records and attribution data will be treated as the primary source for determining whether a purchase was attributed to Auto Recover.
You remain responsible for undisputed amounts while a billing dispute is being investigated.
If a payment fails, we may:
Outstanding fees remain payable following suspension, cancellation or termination.
We may also recover reasonable costs associated with collecting overdue amounts where permitted by law.
For billing and reporting purposes, an "Auto Recover Affected Cart" means an abandoned cart or checkout that has been subject to an Auto Recover recovery activity.
A cart may be considered affected where, for example:
A cart does not need to result in a completed conversation for it to be considered an Auto Recover Affected Cart.
"Recovered Revenue" means revenue from a purchase that is attributed to an Auto Recover Affected Cart in accordance with the attribution rules used by the Service.
Where an Auto Recover Affected Cart subsequently results in an order within the applicable attribution period, Auto Recover may attribute that order to Auto Recover.
The applicable attribution period and methodology may be determined by Auto Recover and may be displayed within the Service.
Unless otherwise stated in your pricing plan, attribution may take into account:
For clarity, the following may each constitute evidence that Auto Recover affected a cart:
Link click: A customer clicks an Auto Recover recovery link and subsequently completes a purchase associated with the affected cart.
Customer reply: A customer replies to an Auto Recover conversation and subsequently completes a purchase associated with the affected cart.
Discount code: A customer uses a discount code or incentive provided through Auto Recover and completes a purchase associated with the affected cart.
SMS interaction: A customer receives or interacts with an Auto Recover recovery message and subsequently completes a purchase that can reasonably be connected to the affected cart.
An order may therefore be considered recovered even where the customer does not directly purchase immediately after clicking a recovery link.
The fact that a customer may have also interacted with other marketing channels, emails, advertisements, organic search, direct traffic or other communications does not automatically remove an order from Auto Recover attribution.
Where the purchase satisfies the attribution rules described in these Terms, the purchase may be included in Recovered Revenue and the applicable recovery fee will be payable.
Auto Recover does not represent that it was the sole cause of an attributed purchase.
Auto Recover may use data from Shopify and other integrated systems to determine whether a purchase is associated with an Auto Recover Affected Cart.
Because attribution depends on the information available through integrated platforms, Auto Recover cannot guarantee that every purchase will be correctly attributable.
You may cancel your Auto Recover subscription at any time through the available billing or account controls.

Cancellation does not release you from any obligations that accrued before cancellation.
Auto Recover facilitates SMS communications between merchants and their customers.
You are solely responsible for ensuring that your use of Auto Recover complies with all applicable laws, regulations, carrier requirements and industry rules relating to SMS communications and marketing.
This includes, where applicable:
Where consent is required, you must obtain and maintain appropriate consent before using Auto Recover to send the relevant messages.
You must maintain appropriate records demonstrating the basis on which customers may lawfully be contacted.
You must not use Auto Recover to send unsolicited spam or messages to individuals where you do not have an appropriate legal basis or permission to do so.
PECR can impose specific requirements on electronic marketing, including text messages, and organisations should retain appropriate evidence of consent where consent is relied upon.
Auto Recover may provide tools such as quiet hours, opt-out handling, suppression controls and messaging restrictions. These tools are provided to assist merchants and do not transfer legal responsibility for compliance from the merchant to Auto Recover.
You are responsible for:
You must not configure Auto Recover to make misleading, unlawful, discriminatory, fraudulent or otherwise inappropriate statements.
Auto Recover uses artificial intelligence and automated systems to generate customer responses.
AI-generated content may occasionally be inaccurate, incomplete or inappropriate.
You acknowledge that:
Auto Recover does not provide legal, medical, financial or other professional advice through AI-generated customer conversations.
You must not:
The parties acknowledge that Auto Recover may process personal data on behalf of merchants.
Where Auto Recover acts as a processor, the merchant acts as controller and remains responsible for determining the purposes and lawful basis for processing customer data.
Auto Recover will process customer data in accordance with the merchant's documented instructions and applicable data protection law.
The parties will cooperate as reasonably necessary to comply with applicable data protection obligations.
Where required, the parties may enter into a separate Data Processing Addendum governing processor obligations, sub-processors, security, international transfers, data-subject rights, breach notification and deletion or return of data.
Auto Recover relies on third-party services and integrations, including Shopify, telecommunications providers, cloud infrastructure providers and AI providers.
Your use of Auto Recover may therefore be subject to the availability and policies of those third parties.
We are not responsible for failures caused solely by a third-party service outside our reasonable control.
We aim to provide reliable access to Auto Recover but do not guarantee that the Service will always be available, uninterrupted or error-free.
We may temporarily suspend the Service for:
Auto Recover and its licensors own all rights, title and interest in the Service, including its software, interface, technology, designs, documentation and branding.
You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms.
You retain ownership of your store data, customer data and other content you provide to Auto Recover.
You grant Auto Recover the limited rights necessary to process and use that data to provide the Service.
Each party agrees to keep confidential information received from the other party confidential and to use it only as necessary to perform its obligations under these Terms.
This obligation does not apply to information that:
To the maximum extent permitted by law, Auto Recover provides the Service on an "as available" and "as is" basis.
We do not guarantee:
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for fraud or fraudulent misrepresentation, or liability for death or personal injury caused by negligence.
Subject to the above, to the maximum extent permitted by law, Auto Recover will not be liable for indirect, incidental, special, consequential or punitive losses, or for loss of profits, revenue, business, goodwill or data.
Subject to applicable law, Auto Recover's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of:
To the maximum extent permitted by law, you agree to indemnify and hold harmless Auto Recover, its officers, directors, employees and service providers from claims, losses, liabilities, damages, costs and expenses arising from:
We may suspend or terminate your access to Auto Recover where:
Where reasonably practicable, we will provide notice before suspension or termination.
Termination does not remove your obligation to pay fees incurred before termination.
Following termination:
We may modify, improve, replace or discontinue parts of the Service from time to time.
We will make reasonable efforts to provide notice of material changes where appropriate.
We may update these Terms from time to time.
Where we make material changes, we may notify you by email, through the Service or by another reasonable method.
Your continued use of Auto Recover after the effective date of revised Terms constitutes acceptance of the revised Terms, to the extent permitted by law.
These Terms are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction over disputes arising out of or relating to these Terms, subject to any mandatory rights or protections that cannot legally be excluded.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.
Our failure to enforce any provision does not constitute a waiver of our right to enforce it later.
You may not transfer or assign your rights under these Terms without our prior written consent, except where required by law.
We may assign or transfer our rights and obligations in connection with a merger, acquisition, restructuring or sale of the Service or business.
